APP and CVC weigh competing bids for Essity's €3 billion consumer tissue unit
Asia Pulp & Paper, RGE, and CVC Capital Partners are evaluating separate bids for Essity's consumer tissue division in a potential €3 billion transaction.
The global tissue market is bracing for a major structural shift. Asia Pulp & Paper (APP), RGE, and private equity firm CVC Capital Partners have emerged as potential suitors for Essity's consumer tissue business, a division currently valued at approximately €3 billion. While no formal transaction has been finalized, the separate evaluations by these industrial and financial heavyweights signal a highly competitive bidding process expected to unfold in the coming months.
Essity initiated a strategic review of its consumer tissue operations in May 2026, aiming to determine the optimal ownership structure for a division that, despite its massive scale, yields lower margins compared to the company's specialized health and medical segments. In 2025, the consumer tissue unit generated SEK 43.5 billion in net sales, representing 31% of the Swedish group's total revenue, with an EBITA margin of 11.9%.
Strategic pivot for Essity
The potential divestment aligns with Essity's long-term strategy to transition from a traditional paper manufacturer into a higher-margin health and hygiene conglomerate. The consumer tissue division operates 29 production facilities globally and employs around 13,000 people, manufacturing household staples under prominent brands such as Cushelle, Tempo, Lotus, and Zewa. Offloading this capital-intensive segment would provide Essity with significant liquidity to pursue targeted acquisitions in medical solutions and professional hygiene.
Asian giants seek European expansion
For APP and RGE, acquiring Essity's consumer tissue arm represents a rare opportunity to instantly secure market leadership in Europe and strengthen their foothold in Latin America. Both Asian conglomerates possess massive upstream pulp capacities and have been aggressively expanding their downstream tissue converting operations. Integrating Essity's established brand portfolio and European distribution network would create a vertically integrated powerhouse capable of absorbing internal pulp production while dominating retail shelves.
Meanwhile, the presence of CVC Capital Partners highlights the financial viability of the carve-out. Private equity interest in the tissue sector often focuses on operational optimization, supply chain efficiencies, and eventual market consolidation. As the strategic review progresses toward its anticipated conclusion in the first half of 2027, the industry will closely monitor whether industrial synergy or financial engineering ultimately claims one of the world's largest consumer tissue portfolios.
